Description

Position Summary:

Looking for a candidate to join a diverse corporate practice in a position that will focus on commercial lending, transactional finance; candidates must have extensive transactional banking (including secured lending; candidates must have top academic credentials and a stellar law firm employment history (limited changes since graduation).

Principal Duties and Responsibilities:

Represent financial institutions, corporate borrowers, and private equity firms in a wide range of banking and finance transactions, including cross-border. These transactions include secured and unsecured commercial lending, project financing, acquisition financing, energy and utility financings.

Draft and negotiate loan documentation (including credit agreements syndicated and bilateral, term and revolving, single and multi-tranche; guarantees; security agreements; account control agreements; inter-creditor agreements; subordination agreements; and pledge agreements) and legal opinions. Conduct regulatory due diligence. Conduct legal research and analysis. Review U.S. corporate documents in the context of lending transactions. Communicate and correspond with colleagues, clients, other counsel.

Must have ability to perform legal research primarily in finance-related contexts; ability to use library reference materials and/or electronic resource tools; ability to establish and maintain effective working relations with others; ability to communicate effectively in English orally and in writing; ability to organize and prioritize workload; ability to understand and follow written and oral directions; knowledge of Microsoft Office, Outlook, WORD, Excel, and Adobe Acrobat.

Education:

JD degree; Bachelors degree; Must be admitted to practice law in the State of New York.

Experience:

Finance experience including: Representing financial institutions, private equity firms and corporate borrowers; executing finance-related transactions, including commercial lending, project finance, acquisition finance, energy and utility finance; drafting and negotiating loan documentation, legal opinions, closing certificates, authorizing board resolutions and other customary closing documents; experience with indenture and 144A debt offers
